Terms of Service

Overview
These Terms of Service ("Terms") govern your use of the Alafia Digital website and any web design, development, hosting-setup, or content-management services (collectively, the "Services") provided by Alafia Digital ("we," "us," or "the Studio") to you ("you," "Client"), including any additional work requested and quoted separately after a project is delivered (a "Recommission").
By engaging our Services — including signing a proposal, paying an invoice, or using this website to make an inquiry — you agree to these Terms. If you do not agree, please don't use the Services.
Services Provided
We provide website design and development as one-time projects. Hosting and content-management-system (CMS) infrastructure (currently Vercel and Sanity) is set up under the Client's own account during the build, and full account access is handed over to the Client at launch.
We do not provide ongoing hosting management, monitoring, or maintenance as a recurring or subscription service. If further work is needed after launch — content updates, design changes, technical fixes, or anything else — the Client may request a Recommission, which is scoped and quoted individually before any work begins. We are not the hosting or infrastructure provider, and we are not responsible for outages, policy changes, or pricing changes made by those third parties.
Scope of Work
Each project begins with an agreed scope (package tier or custom proposal). Work outside that scope — including new pages, new sections, structural redesigns, new integrations, or any changes requested after the project has launched — is not included in the original project and will be scoped and quoted separately as a Recommission.
There is no ongoing or recurring service included with a project. Once a site is launched, the Client is responsible for it going forward, unless and until a Recommission is requested and agreed to.
Fees & Payment
One-time project fees are due according to the schedule stated in your proposal or invoice (typically a deposit before work begins, with the balance due at or before launch). Recommission fees are quoted per request and are due before that work begins, unless otherwise agreed in writing.
Late or failed payments may result in a pause of Services until payment is resolved. Fees are non-refundable once work has begun on a given phase, except where required by law.
Client Responsibilities
You're responsible for providing accurate content (text, images, credentials) in a timely manner, and for reviewing deliverables at each project checkpoint. Delays in providing feedback or content may delay your project timeline accordingly.
You're responsible for the accuracy of any content you add yourself through the CMS, including any professional, licensing, or credentialing claims made on your site.
Intellectual Property
Upon full payment, you own the final website design and content created specifically for your project. We retain ownership of any pre-existing tools, templates, code frameworks, or internal systems used to build it, and may reuse non-client-specific components in future projects.
We may display completed projects in our portfolio and marketing materials unless you request otherwise in writing.
Third-Party Services
Delivery of the Services relies on third-party platforms, including but not limited to Vercel (hosting), Sanity (content management), and Stripe (payments). Your use of those platforms is also subject to their own terms of service and privacy policies. We are not liable for downtime, data loss, or service changes caused by these third parties, though we will make reasonable efforts to notify you and respond if they affect a project during an active engagement.
Limitation of Liability
To the fullest extent permitted by law, Alafia Digital is not liable for indirect, incidental, or consequential damages arising from your use of the Services, including lost business, lost data, or lost revenue. Our total liability for any claim related to the Services is limited to the amount you paid us for the project or Recommission giving rise to the claim.
Cancellation
Either party may cancel a project or Recommission before work has begun on it, in which case any deposit paid will be refunded minus the value of any work already completed. Once work has begun, cancellation is subject to the fee terms in Section 04.
We reserve the right to pause or decline Services if fees remain unpaid, or if the Services are being used for unlawful purposes.
Changes to These Terms
We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms. Material changes affecting an active project or Recommission will be communicated directly.
Governing Law
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
